End User Licence Agreement

This End User Licence Agreement ("EULA") governs your use of Cloudverest client software, including the Desktop Application, CLI Tool, VS Code Extension, and UE5 Plugin (collectively, "Client Software"). This EULA is incorporated into and forms part of the full Terms of Service. By installing or using any Client Software you agree to be bound by both this EULA and those Terms. The Client Software is provided by Ritsea SRL, a company registered in Romania.
1. Desktop Application
Subject to the full Terms of Service, Ritsea SRL grants you a limited, personal, non-exclusive, non-transferable, revocable licence to install and use one (1) copy of the Cloudverest Desktop Application on a Windows 10 or Windows 11 (64-bit) device that you own or control, solely for the purpose of accessing the Cloudverest Service.
1.1 Automatic Updates
The Desktop Application may automatically download and install updates without prior notice to maintain compatibility, security, and feature parity with the Service. By installing the Desktop Application you expressly authorise this automatic update mechanism.
1.2 Local Filesystem Access
The Desktop Application reads files from and writes files to the local filesystem directories you designate as synchronisation workspaces. It stores local state data including workspace paths, a device UUID, and a synchronisation state cache. You are responsible for ensuring you have appropriate rights to all content in your designated workspace directories.
1.3 Restrictions
You may not:
- Redistribute, sublicence, or resell the Desktop Application
- Reverse engineer, decompile, disassemble, or attempt to derive the source code
- Extract, copy, or use any embedded API keys, credentials, or cryptographic secrets
- Modify or create derivative works of the Desktop Application
1.4 System Requirements
- Windows 10 or Windows 11 (64-bit)
- Active internet connection for synchronisation features
- A valid Cloudverest account obtained via invitation
2. CLI Tool
Subject to the full Terms of Service, Ritsea SRL grants you a limited, non-exclusive, non-transferable, revocable licence to use the Cloudverest CLI Tool to interact with the Service for personal or organisational purposes.
2.1 Permitted Use
You may use the CLI Tool to automate interactions with the Service, provided that:
- Automated usage remains within the applicable API rate limits
- You do not use automation to circumvent rate limits via credential rotation, multiple accounts, or proxy chains
- You do not use the CLI Tool for bulk data extraction, competitive intelligence scraping, or any purpose not supported by the intended API design
2.2 Restrictions
You may not redistribute, sublicence, or resell the CLI Tool independently. The CLI Tool uses the same JWT-based authentication as the web application and is subject to all security and access control policies of the Service.
3. VS Code Extension
Subject to the full Terms of Service, Ritsea SRL grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the Cloudverest VS Code Extension within Visual Studio Code.
3.1 Additional Terms
The VS Code Extension may be distributed via the Visual Studio Code Marketplace. Use of the Marketplace is additionally subject to Microsoft's Marketplace Terms of Use. The VS Code Extension accesses your local filesystem for file status queries and sends push/pull operations to the Cloudverest API using your authenticated session.
3.2 Preview Status
The VS Code Extension is currently in preview. It may be incomplete, unstable, or subject to breaking changes without notice. It is provided without warranty of any kind and may be discontinued at any time.
4. UE5 Plugin
Subject to the full Terms of Service, Ritsea SRL grants you a limited, non-exclusive, non-transferable, revocable licence to use the Cloudverest UE5 Plugin within Unreal Engine 5 projects that you own or control.
4.1 Epic Games EULA
Use of the UE5 Plugin is additionally subject to the Epic Games Unreal Engine End User Licence Agreement. Ritsea SRL does not provide or grant any licence to Unreal Engine itself. The UE5 Plugin is an interface layer that communicates with the Cloudverest API; it does not include any Unreal Engine intellectual property.
4.2 Restrictions
- You may not redistribute the UE5 Plugin source code or precompiled binaries independently of a compiled Unreal Engine project
- All API rate-limiting policies applicable to the Service apply equally to requests made via the UE5 Plugin
4.3 Credential Storage
The UE5 Plugin may store authentication tokens in Unreal Engine editor configuration files. Ritsea SRL is not responsible for unauthorised access resulting from insecure Unreal Engine editor configuration or inclusion of credential files in project repositories.
4.4 Preview Status & Commercial Use Warning
The UE5 Plugin is currently in preview and is provided "AS IS" without warranty of any kind. It is not suitable for use in production pipelines without independent validation. Studios and enterprises using the UE5 Plugin in commercial projects do so at their own risk. Ritsea SRL's total liability for any claim arising from UE5 Plugin use is limited as set forth in the Limitation of Liability clause of the full Terms of Service.
5. General EULA Terms
5.1 Licence Termination
Your licence to use any Client Software terminates automatically and immediately upon termination of your Cloudverest account, expiry of your subscription (when applicable), or breach of any provision of this EULA or the full Terms of Service. Upon termination you must uninstall and destroy all copies of the Client Software in your possession.
5.2 No Warranty
ALL CLIENT SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. RITSEA SRL EXPRESSLY DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RITSEA DOES NOT WARRANT THAT THE CLIENT SOFTWARE WILL OPERATE WITHOUT INTERRUPTION OR ERROR, OR THAT IT WILL BE COMPATIBLE WITH YOUR HARDWARE OR OPERATING SYSTEM ENVIRONMENT.
5.3 Governing Law
This EULA is governed by the laws of Romania. Any dispute arising from this EULA shall be subject to the exclusive jurisdiction of the courts of Romania, subject to the EU consumer rights carve-out described in the full Terms of Service.
5.4 Incorporation into Terms of Service
This EULA is incorporated into and must be read together with the full Terms of Service. In the event of any conflict between this EULA and the Terms of Service, the Terms of Service shall prevail.
